Terms of Service

Summary: By using UnityVows you agree to these terms. Key points: pay on time, don't misuse the platform, your data remains yours, and we can suspend accounts that violate these terms.

1. Acceptance of Terms

By accessing or using the UnityVows platform ("Service"), operated by Able Strategies, LLC, a Michigan limited liability company ("Company", "we", "our", "us"), you agree to be bound by these Terms of Service ("Terms"). If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms. If you do not agree, do not use the Service.

2. Description of Service

UnityVows is a cloud-based wedding planning and management platform for professional planners. Features include wedding project management, guest management, budget tracking, vendor management, task management, and collaboration tools. We reserve the right to modify, add, or remove features at any time with reasonable notice.

3. Account Registration and Eligibility

  • You must be at least 18 years old and capable of forming a binding contract to use the Service.
  • You must provide accurate, current, and complete registration information and keep it updated.
  • You are responsible for all activity that occurs under your account. Keep your credentials secure and do not share them.
  • Notify us immediately at support@unityvows.com if you suspect unauthorised access to your account.
  • Each subscription is for a single organisation ("Planner"). Creating multiple accounts to circumvent plan limits is prohibited.

4. Subscriptions, Billing, and Credits

4.1 Subscription Plans

UnityVows offers monthly and annual subscription tiers, as well as a pay-per-wedding credit model. Current pricing is available at unityvows.com/pricing.

4.2 Billing & Merchant of Record

Subscription and add-on fees are billed in advance at the start of each billing period (monthly or annually) where applicable. Payments are processed by Paddle as Merchant of Record (MoR): Paddle is the seller of record, charges your payment method, and issues receipts/tax documentation as required. You authorise recurring charges until you cancel in accordance with our Refund Policy.

If your card is issued in a currency other than the one shown at checkout, your bank or card issuer may apply foreign exchange rates and fees that we do not control or receive.

4.3 Refunds & cancellations

Refund eligibility (including our 30-day money-back guarantee for qualifying new subscriptions), cancellations, and end-of-period access are governed by our Refund Policy, which forms part of these Terms. When you cancel a paid subscription, cancellation is scheduled for the end of the current billing period unless applicable law or Paddle's checkout terms provide otherwise.

Unused pay-per-wedding credits are generally non-refundable once used; limited exceptions are described in the Refund Policy.

4.4 Price Changes

We may change pricing with at least 30 days' notice. Continued use of the Service after the effective date of a price change constitutes acceptance.

4.5 Taxes

Prices are exclusive of applicable taxes (GST, VAT, etc.), which will be added where required by law.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
  • Upload, transmit, or distribute content that is defamatory, harassing, abusive, obscene, or violates third-party rights.
  • Attempt to gain unauthorised access to the Service, its servers, or any connected systems.
  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Use automated tools (bots, scrapers, crawlers) to access or extract data from the Service without our written consent.
  • Resell or sublicense the Service without our prior written approval.
  • Misrepresent your identity or affiliation with any person or organisation.

6. Your Content and Data

Ownership: You retain all rights to the data and content you upload to UnityVows ("Your Content"). We claim no ownership over it.

Licence to operate: You grant us a limited, non-exclusive, royalty-free licence to process, store, and display Your Content solely as necessary to provide the Service.

Responsibility: You are solely responsible for the legality, accuracy, and appropriateness of Your Content, including obtaining any necessary consents from wedding guests and clients whose personal data you upload.

Data portability: You may export your data at any time from within the platform. After account termination we retain data for 12 months before permanent deletion (see our Privacy Policy).

7. Intellectual Property

The UnityVows platform, including its software, design, trademarks, and documentation, is the exclusive property of UnityVows and its licensors. Nothing in these Terms grants you any right to use our trademarks, logos, or brand features without our prior written consent.

8. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service ("Confidential Information") and to use it only as necessary to fulfil obligations under these Terms. This obligation does not apply to information that is or becomes publicly available through no fault of the receiving party.

9. Warranties and Disclaimers

We provide the Service on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or harmful components. We target 99.5% uptime but do not guarantee it.

10. Limitation of Liability

To the fullest extent permitted by applicable law:

  • UnityVows shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or data.
  • Our total aggregate liability for any claim arising out of or relating to these Terms shall not exceed the amount you paid to us in the 12 months preceding the claim.

Some jurisdictions do not allow these limitations; in such cases our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless UnityVows and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

12. Term and Termination

12.1 By you

You may cancel your subscription at any time from your account settings. For paid plans billed through Paddle, cancellation is requested through UnityVows and takes effect at the end of your current billing period; you retain access until then, consistent with our Refund Policy.

12.2 By us

We may suspend or terminate your account immediately if you breach these Terms, fail to pay fees, or engage in conduct that harms the Service or other users. We will provide notice where practicable.

12.3 Effect of termination or non-renewal

If we suspend or terminate your account for breach, non-payment, or risk to the Service (Section 12.2), your right to access the Service ends when we say so in notice, unless applicable law requires otherwise.

If you cancel a paid subscription or turn off auto-renewal (Section 12.1), access continues until the end of the billing period you already paid for; after that date, access ends unless you purchase a new plan or credits. Sections 6 (Your Content), 7 (IP), 10 (Limitation of Liability), 11 (Indemnification), and 14 (Governing Law) survive termination.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or in-app notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

14. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Michigan, United States, without regard to conflict of law principles. Any dispute arising from or relating to these Terms shall first be referred to good-faith negotiations. If unresolved within 30 days, disputes shall be submitted to the exclusive jurisdiction of the state and federal courts located in Oakland County, Michigan.

15. Miscellaneous

  • Entire agreement: These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and UnityVows.
  • Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
  • Waiver: Failure to enforce any provision does not constitute a waiver.
  • Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger or acquisition.
  • Force majeure: Neither party is liable for delays or failures caused by circumstances beyond their reasonable control.
